ARC Intelligence – Contributor Licensing Agreement

This Contributor Licensing Agreement ("CLA" or "Agreement") is a legally binding contract between you ("Contributor," "you," or "your") and ARC Intelligence ("ARC Intelligence," "we," "us," or "our"). By submitting any content through the ARC Intelligence platform, including through the ARC Intelligence Incubator system, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
1. Definitions
"Contributor Content" means all materials you submit to ARC Intelligence through any platform feature, including but not limited to: text-based coaching insights, annotations, skill area analyses, moderation feedback, video-referenced commentary, instructional guidance, and any other content submitted through the ARC Intelligence Incubator system or related contributor tools.
"ARC Intelligence Systems" means all current and future ARC Intelligence technologies, products, and services, including but not limited to: MovementNet, artificial intelligence systems, biomechanics systems, datasets, educational systems, analytics systems, platform infrastructure, moderation systems, and any derivative or successor technologies.
"Incubator" means the ARC Intelligence Incubator system through which contributors submit content, insights, and analyses for review, moderation, and potential incorporation into ARC Intelligence Systems.
2. Contributor Relationship
Contributors and coaches who participate in the ARC Intelligence contributor program are independent third-party contributors. Nothing in this Agreement creates an employment relationship, joint venture, partnership, or agency relationship between you and ARC Intelligence. You are not an employee, agent, representative, or affiliate of ARC Intelligence. You are solely responsible for your own taxes, insurance, and compliance with applicable laws in your jurisdiction.
You must be at least eighteen (18) years of age to participate as a contributor. By accepting this Agreement, you represent and warrant that you meet this age requirement.
3. Content Ownership
You retain ownership of the original intellectual property in your Contributor Content as submitted. Nothing in this Agreement transfers your underlying ownership of the original work to ARC Intelligence. However, your ownership is subject to the broad, perpetual license you grant to ARC Intelligence under Section 4 below, which you should read carefully.
4. License Grant
By submitting Contributor Content to ARC Intelligence, you grant to ARC Intelligence a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free license to use, host, store, reproduce, modify, adapt, publish, distribute, analyze, display, create derivative works from, train systems on, and incorporate your Contributor Content, in whole or in part, into any and all ARC Intelligence Systems. This license expressly includes, without limitation, the right to incorporate your Contributor Content into:
- MovementNet and any successor or derivative movement-analysis technologies;
- Artificial intelligence and machine learning systems, including training data, model weights, and inference outputs;
- Biomechanics analysis and modeling systems;
- Datasets used for research, development, training, validation, and benchmarking;
- Educational systems, instructional content, and coaching tools;
- Analytics, reporting, and insight-generation systems;
- Platform infrastructure, including search, recommendation, and personalization engines;
- Content moderation and quality assurance systems;
- Any future ARC Intelligence products, services, features, or technologies, whether or not currently in existence.
This license is granted without restriction as to medium, format, channel, or technology, whether now known or hereafter developed. ARC Intelligence may exercise any or all of these rights without notice to you and without any obligation of compensation beyond what is described in Section 7 of this Agreement.
5. License Survival
The license granted in Section 4 is permanent and survives in all circumstances. Specifically, the license survives and remains in full force and effect notwithstanding:
- Deletion or deactivation of your ARC Intelligence account;
- Your removal or voluntary withdrawal from the contributor program;
- Termination of this Agreement by either party for any reason;
- Any period of inactivity on your part, regardless of duration;
- Changes to the ARC Intelligence platform, business model, ownership, or corporate structure.
You acknowledge and agree that once Contributor Content has been submitted to ARC Intelligence, it may continue to exist within and be used as part of:
- Trained artificial intelligence and machine learning systems, including embedded model weights and learned parameters;
- Datasets compiled for training, validation, research, and development;
- Analytics outputs, aggregated insights, and derived metrics;
- Derived insights, reports, and knowledge products;
- Platform archives and historical records;
- Educational systems and instructional materials;
- Historical platform records maintained for continuity, compliance, and auditing purposes.
Due to the nature of machine learning, data integration, and content aggregation processes, it may be technically infeasible to isolate or remove individual Contributor Content from trained models, compiled datasets, derived works, or aggregated systems. You acknowledge this reality and agree that ARC Intelligence has no obligation to attempt such isolation or removal following your departure from the contributor program.
6. Contributor Content Types and Submission
Contributor Content is submitted through the ARC Intelligence Incubator system and may include the following categories:
- Coaching Insights: Text-based analysis, guidance, and instructional commentary on athletic performance, technique, and skill development;
- Annotations: Detailed observations and markup attached to video content, movement sequences, or performance data;
- Skill Area Analyses: Structured evaluations of specific athletic skills, biomechanical patterns, or training methodologies;
- Moderation Feedback: Quality assessments, peer reviews, and editorial commentary on other contributors' submissions;
- Video-Referenced Commentary: Textual analysis and coaching insights referencing specific moments, sequences, or patterns in video content hosted on the platform.
All content must be submitted through designated ARC Intelligence tools and interfaces. Content submitted through unauthorized channels may not be recognized or governed by this Agreement.
7. Compensation and Referral Program
Insight submissions to the ARC Intelligence platform do not involve direct monetary compensation. Participation in the contributor program is voluntary, and submission of Contributor Content does not entitle you to any payment, royalty, or other financial consideration from ARC Intelligence.
Contributors may earn referral revenue through the ARC Intelligence referral program, which operates via Stripe-based payment infrastructure. Under the current referral program structure, contributors receive a five percent (5%) revenue share from subscribing users who were referred to ARC Intelligence through the contributor's unique referral link. Referral revenue is subject to the following terms:
- Revenue share percentages, payout schedules, and eligibility criteria are determined by ARC Intelligence at its sole discretion;
- ARC Intelligence reserves the right to modify, suspend, or discontinue the referral program structure, including revenue share rates, at any time with reasonable notice to active participants;
- Payout timing and mechanics are governed by the operational requirements of the Stripe payment infrastructure and ARC Intelligence internal processing schedules;
- Referral revenue is contingent on the continued valid subscription status of referred users and is subject to adjustment for refunds, chargebacks, and disputed transactions;
- Contributors are solely responsible for all taxes and reporting obligations arising from referral income.
8. Content Moderation
ARC Intelligence moderates all Contributor Content submitted through the platform. Submissions are subject to review by ARC Intelligence moderation teams and automated systems. As part of the moderation process, Contributor Content may be:
- Approved for publication and integration into ARC Intelligence Systems;
- Rejected if it does not meet quality standards, relevance criteria, or editorial guidelines;
- Flagged for additional review, clarification, or compliance evaluation;
- Returned for revision with specific feedback and guidance for improvement.
ARC Intelligence retains the right to remove, edit, or restrict access to any Contributor Content at any time, for any reason, with or without notice. Moderation decisions are made at ARC Intelligence's sole discretion and are final. The removal of content from public-facing features does not affect the license granted under Section 4 of this Agreement.
9. Representations and Warranties
By submitting Contributor Content, you represent and warrant that:
- You have the full legal authority and right to grant the license described in Section 4 of this Agreement;
- Your Contributor Content is your original work, or you have obtained all necessary rights, licenses, and permissions from any third parties whose work is incorporated into your submissions;
- Your Contributor Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or any other proprietary or legal rights;
- Your Contributor Content is accurate, truthful, and complete to the best of your knowledge and professional judgment;
- You will not submit content that is harmful, dangerous, misleading, defamatory, obscene, illegal, or otherwise objectionable;
- You will comply with all applicable laws, regulations, and professional standards in connection with your participation in the contributor program.
10. Contributor Restrictions
As a contributor, you agree that you will not:
- Submit plagiarized content or content that you do not have the right to license under this Agreement;
- Impersonate any person, entity, or professional credential, or misrepresent your qualifications, affiliations, or expertise;
- Submit content for sports, disciplines, or skill areas that fall outside your genuine area of knowledge and expertise;
- Attempt to manipulate, game, or artificially inflate your position on any ARC Intelligence leaderboard, ranking, or recognition system;
- Submit coaching advice or instructional content that is harmful, dangerous, medically irresponsible, or likely to cause injury;
- Submit misleading analyses, fabricated data, or knowingly inaccurate assessments;
- Use automated tools, bots, or artificial means to generate or submit Contributor Content without explicit written authorization from ARC Intelligence;
- Engage in any activity that disrupts, interferes with, or undermines the integrity of the ARC Intelligence platform or contributor program.
11. Attribution
ARC Intelligence may, at its sole discretion, attribute Contributor Content to you by name, username, or other identifier. However, ARC Intelligence is under no obligation to provide attribution in any context, and may use, display, or distribute Contributor Content without any attribution whatsoever.
To the fullest extent permitted by applicable law, you irrevocably waive any and all moral rights (including rights of attribution and integrity) that you may hold in your Contributor Content. Where moral rights cannot be waived under applicable law, you agree not to assert such rights against ARC Intelligence or its licensees, successors, or assigns.
12. Indemnification
You agree to indemnify, defend, and hold harmless ARC Intelligence, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Contributor Content; (b) your breach of any representation, warranty, or obligation under this Agreement; (c) your violation of any applicable law or third-party right; or (d) any dispute between you and any third party relating to your participation in the contributor program.
13. Limitation of Liability
To the maximum extent permitted by applicable law, ARC Intelligence shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to this Agreement or your participation in the contributor program, regardless of the theory of liability and whether or not ARC Intelligence has been advised of the possibility of such damages. ARC Intelligence's total aggregate liability under this Agreement shall not exceed the total referral payments, if any, made to you in the twelve (12) months preceding the event giving rise to the claim.
14. Termination
Either party may terminate this Agreement at any time. You may terminate by ceasing all contributions and submitting a written termination request to ARC Intelligence at the contact address provided below. ARC Intelligence may terminate your participation or revoke your contributor access at any time, with or without cause, including but not limited to violations of this Agreement, the ARC Intelligence Terms of Service, or any applicable ARC Intelligence policy.
Upon termination:
- Your right to submit new Contributor Content will cease immediately;
- Any pending submissions may be discarded or, at ARC Intelligence's discretion, processed under the terms of this Agreement;
- Your access to contributor-specific features and tools will be revoked;
- The license granted in Section 4 and its survival provisions in Section 5 remain in full force and effect, and are not affected by termination.
15. Modifications to This Agreement
ARC Intelligence reserves the right to modify this Agreement at any time. If we make material changes, we will notify active contributors via email or through the ARC Intelligence platform. Your continued participation in the contributor program following notification of changes constitutes your acceptance of the revised Agreement. If you do not agree to the revised terms, you must cease contributing and terminate this Agreement.
16. Governing Law and Dispute Resolution
ARC Intelligence intends to organize under the laws of the State of Delaware, United States. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
17. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
18. Entire Agreement
This Agreement, together with the ARC Intelligence Terms of Service, Privacy Policy, and any other policies referenced herein, constitutes the entire agreement between you and ARC Intelligence with respect to contributor licensing. This Agreement supersedes all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the subject matter hereof.
